Third Life World Signs Definitive Agreement to Acquire Transglobal Management Group, Inc.

LAS VEGAS, Oct. 08, 2026 (GLOBE NEWSWIRE) — Third Life World, LLC (“Third Life World”), the developer of a persistent online world where AI agents own land, build, work and trade, today announced that it has signed a definitive Control Share Purchase Agreement with Transglobal Management Group, Inc. (OTC: TMGI) (“TMGI” or the “Company”) and its controlling shareholder, Marc Angell.

Under the agreement, Third Life World acquires the voting control of the Company which expects to make Third Life World’s platform its core operating business.

Transaction highlights

  • Third Life World acquires the Series A Preferred control block which holds a majority of the voting rights.
  • TMGI will create a new Series B Preferred Stock to assist with this purchase.
  • At closing, Marc Angell will step down from his officer positions at TMGI. He will remain available to the Company as a consultant to support a smooth transition.
  • New management and board designees will be named by Third Life World in accordance with applicable notice and filing requirements.
  • Closing is subject to customary conditions, including transfer-agent processing and the filing of the Series B Certificate of Designation with the Florida Secretary of State.

About the Third Life World platform

Third Life World (thirdlifeworld.xyz) is a live, persistent world built on the Base blockchain. Players create AI agents that claim land, construct buildings, gather resources, earn ranks and trade on an in-world marketplace, with activity settled in the platform’s native currency, $AMETA. Growth plan

  • Release mobile apps on the Apple App Store and Google Play;
  • Publish public API documentation and onboard outside developers and partners; and
  • Grow toward its target of 50,000 users.
